About these terms

These terms are between Repcurve Ltd, a company registered in England and Wales (company 17427637), trading as Nest Ready ("we"), and the organisation that signs up ("you"). Our registered office is C/O Just Balance Accounting Ltd, 10 Dunsters Avenue, Bury, England, BL8 1EF.

Nest Ready is for businesses only. By signing up you confirm you are acting for a business, and not as a consumer.

The service

Nest Ready turns engineering drawings into DXF files of the parts they describe. You can upload PDF drawings, scans and photos, and, where the feature is switched on, photos of hand sketches. Parts we cannot confirm are held for a person in your organisation to review before they can be downloaded.

Accounts and people

Your organisation's account has owners, admins and operators, each with the access the app describes. Owners are responsible for who has access, for keeping sign-in emails secure, and for everything done under the account.

Plans and charging

Every new organisation gets 25 free parts, once, with no card needed. After that you need a plan:

Enterprise plans are agreed separately, and their own terms add to these.

A part is charged the first time its DXF is downloaded. Downloading it again, previewing it, rejecting it, and the sample drawing are free. A part from a scan, photo or sketch counts as 5 parts, because it takes a vision model to read and more checking.

Parts beyond your plan's monthly allowance are charged at its rate for each extra part, either billed monthly in arrears or taken from prepaid credit you have bought, whichever you have chosen on the billing page. Allowances reset each calendar month and do not carry over.

Paying

Our reseller and merchant of record is Paddle.com. Paddle's buyer terms govern the purchase itself. Prices are shown before VAT, which is added at checkout where it applies.

Subscriptions renew automatically until cancelled. Changing plan takes effect straight away, and Paddle adjusts the charge for the rest of the period. If a payment fails, uploads and new downloads pause until it is paid.

Your drawings

You keep every right in your drawings and in the files we make from them.

You give us the right to process them only to provide the service to you. We never use them to train AI models.

You confirm you have the right to upload each drawing, including under any confidentiality agreement.

Checking outputs

You must check every DXF against the drawing before you cut.

Nest Ready holds parts it cannot confirm for review and flags what it could not check, but it cannot guarantee that any output is correct. Drawings can be ambiguous, scans and photos lose detail, and a reviewer's corrections are theirs.

Acceptable use

You must not:

upload anything unlawful, or anything you have no right to upload;
try to reach another customer's data, or to get around the service's limits or security;
copy, reverse engineer or resell the service;
use the service in a way that places an unreasonable load on it beyond fair use of your plan.

Liability

We are not liable for scrapped material, machine time, or any loss that follows from cutting an output you did not check.

We are not liable for indirect or consequential loss, or loss of profit, revenue or business.

Our total liability in any 12 months is limited to the fees you paid us in the 12 months before the claim.

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else the law does not allow to be limited.

Availability

We work to keep Nest Ready available and fix problems quickly, but below Enterprise we make no commitment to uptime. Enterprise service levels are set by its own agreement.

Ending the agreement

You can stop at any time by cancelling your plan and asking us to close the account. We can end the agreement with 30 days' notice, or straight away if you seriously breach these terms. We may suspend an account for non-payment, or for a breach of acceptable use.

When the agreement ends, your drawings and outputs are deleted as our privacy policy describes.

Data protection

The data processing agreement forms part of these terms. Our privacy policy explains what we collect and why.

Changes to these terms

We give owners 30 days' notice by email of any material change. Using Nest Ready after a change takes effect means you accept it.

Law

These terms are governed by the law of England and Wales, and its courts have exclusive jurisdiction.
